Terms of Service

These Terms of Service (“Terms”) constitute a binding agreement between you (“Customer”, “you”, or “your”) and Enthron AI Ltd. (“Enthron”, “we”, “us”, or “our”) and govern your access to and use of Enthron’s website, platform, APIs, and related services (collectively, the “Services”).

By accepting the Terms during sign-up or by accessing or using the Services, you (a) acknowledge that you have read and understand these Terms; (b) represent and warrant that you have the right, power, and authority to enter into this agreement and, if entering into this agreement on behalf of an organisation, that you have the legal authority to bind that organisation; and (c) accept these Terms and agree that you are legally bound by them.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement and comply with these Terms and all applicable laws and regulations. You agree to use the Services only for legitimate business purposes related to trade, logistics, or regulatory compliance.

2. Accounts

Certain features of the Services require you to create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep your account details current. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us promptly at contact@enthron.ai if you become aware of any unauthorised use of your account or any other breach of security.

3. The Services

Enthron provides software tools designed to assist organisations involved in international trade and customs compliance. These tools may include AI-assisted customs classification, tariff and duty intelligence, trade data analysis, and regulatory research capabilities.

The Services may incorporate artificial intelligence and automated systems. While we strive to provide accurate and useful information, the Services are provided for informational purposes only. You remain solely responsible for any regulatory filings, trade declarations, or compliance decisions made using the Services.

We may modify, improve, suspend, or discontinue portions of the Services at any time.

4. Customer Data

You retain ownership of any data, documents, or information that you submit to the Services (“Customer Data”). By submitting Customer Data, you grant Enthron a limited licence to host, process, transmit, and analyse that data solely for the purpose of operating and improving the Services.

You represent and warrant that you have all necessary rights and permissions to submit Customer Data to the Services and that such use does not violate any applicable laws or third-party rights.

5. AI-Generated Outputs

The Services may generate outputs using machine learning or artificial intelligence systems. Outputs are generated automatically based on the information available and may occasionally be incomplete, inaccurate, or outdated.

Outputs should not be treated as legal advice or regulatory determinations. You are responsible for reviewing and verifying all outputs before relying on them for business or compliance purposes. Enthron is not responsible for decisions made based on Outputs.

6. Fees and Payment

Certain features of the Services may require payment. Pricing, billing cycles, and usage limits are described in your selected subscription plan or any written agreement between you and Enthron.

By providing a payment method, you authorise us to charge all applicable fees. Unless otherwise required by law, fees are non-refundable. If payment is overdue, we may suspend or terminate your access to the Services.

Account cancellations will take effect at the end of the current billing period. You will continue to have access to the Services until that date, and no further subscription fees will be charged.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Services
• Circumvent security measures or access restrictions
• Interfere with or disrupt the operation of the Services
• Upload malicious software, malware, or harmful content
• Use the Services for unlawful, fraudulent, or harmful activities
• Use the Services to develop or train a competing product

We reserve the right to investigate and take appropriate action for violations of this section.

8. APIs and Integrations

The Services may provide APIs or allow integrations with third-party platforms. If you access the Services through an API, you agree to follow the applicable documentation, respect usage limits, and maintain the security of any API credentials provided to you. We may modify or discontinue APIs at any time.

9. Third-Party Services

The Services may rely on or integrate with third-party services or data providers. Enthron does not control these services and is not responsible for their availability, accuracy, or security. Your use of third-party services may be subject to separate terms and policies.

10. Intellectual Property

All rights, title, and interest in the Services, including software, branding, technology, and documentation, are owned by Enthron AI Ltd. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes only.

You may not copy, distribute, modify, create derivative works from, or resell the Services without our prior written permission.

11. Confidentiality

Each party may receive confidential or proprietary information from the other party in connection with the Services. Both parties agree to protect such information using reasonable safeguards and to use it only for purposes related to the Services.

12. Beta Services

We may offer certain features that are designated as beta, preview, or experimental. These features are made available primarily for testing and evaluation purposes and may contain errors, be modified or discontinued at any time, or fail to meet normal performance standards. As such, beta features are provided without warranties.

13. Data Security

Enthron implements reasonable technical and organisational measures designed to protect data processed through the Services. However, no internet-based system can guarantee absolute security, and you acknowledge that use of the Services involves inherent risks.

14. Privacy

Our collection and use of personal data are governed by our Privacy Policy. Where we process personal data on your behalf, you are responsible for ensuring that you have a lawful basis for such processing under applicable data protection laws, including the UK GDPR where applicable.

15. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, Enthron disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

16. Limitation of Liability

To the maximum extent permitted by law, Enthron will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, business opportunities, or data.

Our total liability arising from or relating to the Services will not exceed the total fees paid by you to Enthron in the twelve (12) months preceding the claim.

17. Termination

We may suspend or terminate your access to the Services if you violate these Terms, fail to pay applicable fees, or if your use of the Services creates legal or operational risk.

You may stop using the Services at any time. Termination does not relieve you of any outstanding payment obligations.

18. Changes to the Services

We may update, modify, or discontinue parts of the Services at any time without prior notice.

19. Changes to These Terms

We may update these Terms periodically. When we do, we will update the “Last Updated” date at the top of this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

20. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising out of or relating to the Services will be subject to the exclusive jurisdiction of the courts of England and Wales.
